These Terms of Service govern access to and use of the Kairois websites, apps, APIs, assistants, scheduling surfaces, routing features, and related services we make available. By accessing or using Kairois, you agree to these Terms and our Privacy Policy.
You may use the Service only if you can form a binding contract with us and are at least 18 years old or the age of digital majority where you live, whichever is higher. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and 'you' includes both you and that entity.
If you do not agree, do not access or use the Service.
Kairois is a constraint-based planning, routing, and assistant product. It may include pre-release, beta, pilot, invite-only, experimental, or incomplete features. The Service may generate plans, routes, summaries, notifications, recommendations, or other outputs using software, models, heuristics, third-party data, and user inputs.
The Service is offered on an 'as available' and 'as evolving' basis. We may add, remove, suspend, replace, limit, throttle, or discontinue any feature, integration, workflow, data source, output, or account tier at any time, with or without notice.
You are responsible for independently reviewing whether any schedule, route, reminder, or recommendation is appropriate for your circumstances. Kairois is not a transportation operator, emergency service, insurer, fiduciary, health provider, legal advisor, or financial advisor.
You must provide accurate account information and keep your credentials secure. You are responsible for activity that occurs under your account and for all users you permit to access your workspace.
We may suspend or terminate access, investigate activity, remove content, or restrict functionality if we believe you violated these Terms, created risk for the Service or other users, failed to pay required fees, or exposed us to legal or operational harm.
As between you and Kairois, you retain whatever rights you may have in the raw information, text, files, calendar details, locations, prompts, messages, preferences, attachments, and other materials you submit to the Service ('Submitted Data').
You grant Kairois and its affiliates, service providers, successors, partners, and sublicensees a worldwide, non-exclusive, sublicensable, transferable, royalty-free license to host, store, copy, reproduce, process, adapt, modify, translate, reformat, create derivative works from, analyze, display, perform, distribute, transmit, index, and otherwise use Submitted Data for any business purpose consistent with our Privacy Policy, including providing the Service, securing it, training and improving models and workflows, benchmarking, quality review, analytics, testing, product development, personalization, support, enforcement, and commercialization.
That license includes the right to generate, retain, exploit, license, sell, publish, and otherwise use derived, inferred, synthetic, statistical, deidentified, and aggregated data generated from or informed by Submitted Data ('Derived Data'). As between you and Kairois, Derived Data, telemetry, usage analytics, service improvements, models, weights, prompts, system outputs, and business insights belong to Kairois except to the extent prohibited by law.
If you provide feedback, ideas, bug reports, feature suggestions, evaluation notes, annotations, ratings, or similar submissions, you grant Kairois an unrestricted, perpetual, irrevocable, transferable, sublicensable, worldwide, royalty-free right to use them for any purpose without notice, attribution, or compensation to you.
Some parts of the Service are currently beta or invite-only and may later become paid subscription offerings. If you enroll in a paid plan, you agree to the pricing, billing cadence, trial structure, and renewal terms presented during checkout or in your order flow.
Unless we expressly state otherwise, subscriptions automatically renew for successive billing periods until cancelled. You authorize us and our payment processors to charge the payment method on file for recurring fees, taxes, and other amounts due. We may change pricing, packaging, or included features prospectively, subject to applicable law and any notice requirements that apply to your plan.
Where required by law, we will present automatic-renewal terms clearly, obtain the consent required to charge you, provide retainable acknowledgments, send any legally required reminder notices, and offer a cancellation mechanism through the channels we designate for your plan. Except where required by law, all payments are non-refundable and partial billing periods are not prorated.
Kairois may rely on third-party services, including mapping, routing, payment, analytics, authentication, communications, cloud infrastructure, and public or licensed datasets. We do not control and are not responsible for third-party services, data quality, uptime, content, or policies.
Third-party failures, delays, outages, errors, changed APIs, bad data, or discontinued integrations may affect the Service. We may replace or remove those dependencies at any time.
The Service, including its software, visual design, workflows, prompts, compiled outputs, interfaces, documentation, trademarks, logos, and all related intellectual property rights, is owned by Kairois or its licensors and is protected by law.
Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED 'AS IS,' 'AS AVAILABLE,' AND 'WITH ALL FAULTS.' KAIROIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, SYSTEM INTEGRATION, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FIT FOR REAL-TIME DECISION-MAKING.
We do not guarantee that any plan, route, ETA, reminder, schedule, or recommendation is complete, correct, lawful, safe, timely, feasible, or suitable. You assume all risk from acting on any output.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROIS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE SERVICES, PERSONAL INJURY, TRAVEL LOSS, MISSED APPOINTMENTS, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID TO KAIROIS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual-property misuse or other urgent equitable matters.
You and Kairois waive any right to participate in a class action, class arbitration, coordinated action, private attorney general action, or jury trial to the extent permitted by law. If a court determines this class waiver is unenforceable for a particular claim, that claim must be severed and litigated in court while the remainder proceeds in arbitration.
We may update these Terms from time to time. The revised version becomes effective when posted unless a later date is stated. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
We may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, restructuring, financing, or sale of assets. You may not assign these Terms without our prior written consent.
